Documents you will need
Which documents you need to change a firm's name and its principal place of business depends on the type of business — a proprietorship or a partnership. Follow only the section that applies to you, then add the general documents at the end. PROPRIETORSHIP FIRM: In a proprietorship the owner's name is the business name, so changing the name and address is mainly a matter of updating your various registrations, such as GST and the bank account. • Affidavit: a notarised affidavit from the owner giving the reason for the change of name and confirming the new name and address. • Identity proof: the owner's updated PAN card and Aadhaar card. • Address proof: – For premises you own: latest property tax receipt, municipal khata, or a copy of the electricity bill. – For rented premises: a valid rent agreement and a No Objection Certificate (NOC) from the owner. • Updating other registrations: – GST portal: apply on the GST portal (Form GST REG-14) to amend the GST registration certificate. Address proof must be uploaded. – Bank account: the bank may ask for any two government documents confirming the firm's name and address (a shop and establishment licence, for example). PARTNERSHIP FIRM: For a partnership the process involves amending the partnership deed and filing with the Registrar of Firms (RoF). • Supplementary deed: a new or supplementary partnership deed covering the changes must be prepared and notarised. • Consent of all partners: written consent (a consent letter) from every existing partner to the change of the firm's name and place. • Address proof: proof of ownership or tenancy of the new business premises (rent agreement, electricity bill, and so on). • Identity proof: copies of the PAN card and Aadhaar card of every partner. • Filing the forms: – Registrar of Firms (RoF): submit the required forms (Form No. 2, where it applies) and documents to the relevant Registrar of Firms. – GST portal: the application to amend the GST registration (core fields) is made through the GST portal, uploading the new partnership deed and address proof. GENERAL DOCUMENTS — needed in both cases: • Original business registration certificate. • Passport-size photographs of all the partners, or of the proprietor. • Updated PAN card and bank account details (after the change of name or address).
